• Web Development Terms :

The following Terms and Conditions document is a legal agreement between Spiral Communications, hereafter “the CEO”, and “the Client” for the purposes of website design or development. These Terms and Conditions set forth the provisions under which the Client may use the services supplied. 

    • A 50% deposit of the total fee payable under our proposal is due immediately upon you instructing us to proceed with the website design and development work. The remaining 50% shall become due when the work is completed to your reasonable satisfaction but subject to the terms of the “approval of work” and “rejected work” clauses. We reserve the right not to commence any work until the deposit has been paid in full. The 50% deposit is non-refundable in any case you must see the things and timings before project submission. The deposit is not refundable if the development work has been started and you terminate the contract through no fault of ours.
    • Quotations are valid for 20 days from date of issue.
    • Additional work requested by the Client that is not specified in the agreed quotation is subject to an additional quotation by the Manager on receipt of specification. If the work is needed as part of an existing project, then this may affect time scale and overall delivery time of the project. If a functional specification and a set of testing criteria is included within the quotation, the Developer is responsible for fulfilling the testing criteria as the sole criteria for completion of the contract.
    • Any time frames or estimates that we give are contingent upon your full co-operation and complete and final content in photography for the work pages. During development there is a certain amount of feedback required in order to progress to subsequent phases. It is required that a single point of contact be appointed from your side and be made available on a daily basis in order to expedite the feedback process.
    • We shall not be liable for any loss or damage which you may suffer which is in any way attributable to any delay in performance or completion of our contract, however that delay arises. If the data or website deleted from a server due to some virus or server downfall issue ,the developers are not responsible for any loss .To avoid such mishap you must hire a person on your side or you can hire on pay ,our team members to take backups on weekly basis to avoid data or website loss.
    • Copyright of the completed web designs, images, pages, code and source files created by the Developer for the project shall be with the Client upon final payment only by prior written agreement. Without agreement, ownership of designs and all code is with the Developer

We offer local and long-distance phone support to our clients. We do not normally bill for technical support depending on the source of the problem, its severity, and our time invested. If Shortgrass is not the source of the problem, technical support may be billable. Normally we charge 10$/ Rs-1000 per hour.

 

  • SEO Agreement Terms :

The following SEO Terms and Conditions document is a legal SEO agreement points between Any Company & Web Marketing Solutions.


    • All fees are non-refundable. All fees, services, documents, recommendations, and reports are confidential.
    • Web Marketing Solutions has no control over the policies of search engines with respect to the type of sites and/or content that they accept now or in the future. The Client’s website may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory.
    • Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms, and other competitive factors, Web Marketing Solutions does not guarantee #1 positions or consistent top 10 positions for any particular keyword, phrase, or search term
    • Any incidental cost related to the SEO Services provided to the client above and beyond deliverable services will be reimbursed to Provider with prior client approval.
    • If the client decides to terminate project without prior notification or violates any terms of this agreement, full payment will be required for next month’s dues.
    • Minimum SEO Agreement is based on a 6 months Or 1 year agreement term.

 

  • Video Editing Terms : 
    • Any invoices that are not paid within 30 days of the date of invoice will incur a penalty fee of 5% of the outstanding balance per week.
    • We may ask to charge a 50% fee upfront once the project has been approved. The remaining balance will be submitted upon completion and final sign off.
    • If the Client cancels a project after agreeing to our costing proposal and entering into contract with us, please not that all fees are non-refundable.
    • Where applicable, The Visuals Team request credit on all platforms.

    • We are proud of the work we produce, and we are withhold the right to include a discreet editing credit at the end of any video eg. “Web Marketing Solutions” unless specified.
    • We may want to use hyperlinked client logos on our website. Please let us know if you’d prefer that we didn’t do this.
    • By verbally or non-verbally agreeing to a costing / project proposal and opening into contract with us, the Client is therefore agreeing to all the above Terms and Conditions on behalf of their department or company. This is a perpetual contract for all future work carried out unless otherwise specified.
